The agreement between you and ChatCPA

These terms govern chatcpa.io and the products on it: the CPA and CMA test banks, practice exams, free samples, simulations, teach-back, and the AI assistant. Using the site or buying a subscription means you accept them. CHATCPA LLC, an Oregon limited liability company.

The parts people actually need. One subscription is one person. Recurring plans renew until you cancel, and cancelling keeps your access through the period you already paid for. Refunds run 7 days if you have worked fewer than 100 questions, and the free practice exam is the full product so you can judge it before paying. Be first to find a wrongly keyed question and section 4 refunds everything you paid, with the mistake published. Nothing here is accounting advice, and no score is guaranteed.

1. Eligibility

You must be at least 18 and able to enter a binding contract.

2. Accounts and access

Subscriptions are for one person. Your login and any access credentials are for your individual use and may not be shared, resold, or transferred. We may suspend access where we detect account sharing or resale. Firm and group access is available; write to us.

3. Payments, renewals, and cancellation

Monthly and half-year plans renew automatically at the then-current price until you cancel. You can cancel any time. Cancellation stops future renewals, and your access continues through the end of the period you have already paid for. The lifetime plan is a one-time payment for access for as long as ChatCPA operates the services. Payments are processed by Stripe; your card details go to Stripe and are never seen or stored by us.

4. Refunds

If ChatCPA is not what you expected, write to finance@chatcpa.io within 7 days of purchase and we will refund you, provided you have not worked more than 100 questions. Past that point you have used a meaningful part of what you bought and the sale is final.

We would rather you never needed that clause. The free practice exam is the full product rather than a teaser, and sixty questions with all four rationales, six complete simulations, the build methodology and every correction we have ever made are published before you pay anything. Use them first. If you were billed in error, or billed twice, tell us and we will fix it regardless of the window above.

If you are buying from the UK or the EEA, your statutory right to withdraw within 14 days applies. Where you ask for immediate access to the material, you agree that the right to withdraw ends once you begin using it, which the checkout records.

The wrong-answer warranty. Separately from the window above: if you find a question in the paid bank whose keyed answer is incorrect under the controlling authority for the law date the question states, and you are the first to report it, we refund every dollar you have paid us and your access continues unchanged. The error, the correction, and your name if you want the credit are published in the changelog. Submit the question reference and your reasoning at chatcpa.io/warranty or by email to nam@chatcpa.io; every claim receives a written adjudication. A showing that a second answer is also defensible earns a fix and a published credit rather than the refund, because that standard already deletes questions before they ship. One warranty payout per customer, since we cannot refund more than everything.

5. Discount codes

One per customer unless stated otherwise. Misuse may result in cancellation of the order or termination of access.

6. Intellectual property

The site and services, including all questions, explanations, simulations, software, and design, are original works owned by CHATCPA LLC and protected by intellectual property law. You may not copy, scrape, redistribute, publish, resell, or create derivative works from any part of them, and you may not use them as training data or to build a competing product. Your subscription is a personal license to study, not a license to reproduce. The acceptable use policy sets out the detail, including what we deliberately publish for free.

7. Educational purpose, no affiliation, no guarantee

The services are study materials. They are not accounting, tax, legal, or financial advice, and no CPA-client relationship is created by using them. ChatCPA is not affiliated with, endorsed by, or sponsored by the AICPA, NASBA, Prometric, the IMA, or any state board of accountancy. Our questions are original and are not actual examination questions. Exam results depend on many factors and we guarantee no score or outcome, including the predicted score the software calculates from your own practice. See the disclaimer.

8. AI features

Teach-back and the assistant use automated language models to generate prompts, grading, and feedback. Automated feedback can contain errors, and it is graded against our explanations rather than official examination rubrics, which are not published. Text and audio you submit to these features are processed by third-party AI providers as described in the privacy policy. Do not submit confidential client information.

9. Acceptable use

You agree not to access the services by automated means, probe or circumvent access controls, harvest content, or use the services to build a competing product. Full terms in the acceptable use policy.

10. Corrections to the material

We correct questions, explanations, and citations as errors are found, and we publish those corrections with dates in the changelog. Content may therefore change during your subscription. That is the product working as intended, not a change to what you bought.

11. Termination

We may suspend or terminate access for violation of these terms. If we terminate your access without cause, we will refund a prorated portion of any prepaid, unused subscription period.

12. Disclaimer of warranties

The site and services are provided as they are and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability. We do not warrant that the services will be error-free or uninterrupted.

13. Limitation of liability

To the maximum extent permitted by law, CHATCPA LLC will not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost data. Our total liability for any claim relating to the services is limited to the amount you paid us in the twelve months before the claim arose.

14. Indemnification

You agree to indemnify and hold CHATCPA LLC and its officers, employees, and agents harmless from claims, damages, and expenses, including reasonable attorney's fees, arising from your violation of these terms.

15. Governing law and jurisdiction

These terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any legal action must be brought exclusively in the state or federal courts located in Oregon, and you consent to their jurisdiction.

16. Changes to these terms

We may update these terms. The current version is always posted here, and the date at the top changes when it does. Continued use after changes are posted constitutes acceptance.

17. Entire agreement and severability

These terms, together with the privacy policy, acceptable use policy, and disclaimer, are the entire agreement between you and CHATCPA LLC regarding the services. If any provision is found unenforceable, the rest remain in effect.
